By accessing or using NewsPro ("the Service," "we," "us," or "our"), you ("the User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and NewsPro. If you do not agree to all of these Terms, you must not access or use the Service. Your continued use of the Service following any updates to these Terms constitutes your acceptance of the revised Terms.

2. Description of Service

NewsPro is a cloud-based Software-as-a-Service (SaaS) platform that enables users to create, manage, and publish news websites. The Service includes, but is not limited to:

• Website Hosting — Each site is hosted on a dedicated subdomain (e.g., yoursite.newspro.io) with optional custom domain support and free SSL certificates.
• Content Management — A full-featured dashboard for creating and managing articles, breaking news, short-form video content, categories, pages, media, and more.
• AI-Powered Content Creation — Automated article writing, breaking news generation, image creation, and short video production using third-party AI providers.
• Analytics — Built-in traffic analytics, audience insights, and content performance tracking.
• Monetization Tools — Reader subscriptions, paywall functionality, newsletter and bulk email delivery.
• Social Media Integration — Automatic content publishing to connected social media accounts.
• Email Services — Auto-provisioned transactional email for each site.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts and Registration

To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials (email and password).
• All activity that occurs under your account, whether or not authorized by you.
• Notifying us immediately of any unauthorized access or security breach.
• Ensuring that all information you provide remains accurate and up to date.

You may create multiple sites under one account. Each site operates as an independent entity with its own subscription, isolated database, and content. You must be at least 18 years old to register. Accounts registered on behalf of a company or organization represent that the person registering has the authority to bind that entity to these Terms.

4. Billing and Payments

Each site on NewsPro operates on a separate subscription billed per site. By subscribing, you agree to the following:

• Payment Processor — All payments are processed securely by Tranzila, a licensed payment service provider. By providing your payment details, you agree to Tranzila's terms and privacy policy in addition to ours.
• Billing Cycle — Subscriptions are billed monthly or yearly, as selected at checkout. Prices are displayed in the currency shown at the time of purchase.
• Automatic Renewal — Subscriptions renew automatically at the end of each billing period unless cancelled. By subscribing, you explicitly authorize us to charge your payment method on each renewal date.
• Price Changes — We may change subscription prices with at least 30 days' notice. Price changes take effect at your next renewal date.
• Failed Payments — If a payment fails, we will retry the charge on subsequent days (up to 3 attempts). If all attempts fail, your subscription will be cancelled and your site suspended.
• Taxes — Prices shown may be exclusive of applicable taxes. You are responsible for any taxes applicable to your purchase.

5. Content Ownership and Responsibility

You retain full ownership of all content you create, upload, or publish through the Service, including text, images, videos, and any other materials ("Your Content"). By using the Service, you grant NewsPro a limited, non-exclusive, royalty-free license to host, store, display, and deliver Your Content solely for the purpose of operating the Service.

You are solely responsible for Your Content, including content generated by AI tools on your behalf. You represent and warrant that:

• You have all necessary rights, licenses, and permissions to publish Your Content.
• Your Content does not violate any applicable law or regulation.
• Your Content does not infringe any third-party intellectual property, privacy, or other rights.

We reserve the right — but not the obligation — to review, remove, or disable access to any content that we determine, in our sole discretion, violates these Terms or applicable law. We are not liable for any content published through your account.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the Service. You must not use the Service to:

• Publish, distribute, or transmit any content that is illegal, defamatory, obscene, threatening, or hateful.
• Distribute malware, viruses, or any other harmful code.
• Send unsolicited commercial messages (spam) to any person.
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property rights.
• Violate the privacy of any individual, including unauthorized collection or disclosure of personal data.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks.
• Use the Service in any way that places an unreasonable or disproportionately large load on our infrastructure.
• Use AI tools to generate content that is deliberately misleading, fabricated, or designed to deceive.

Violation of this section may result in immediate suspension or termination of your account without refund.

7. Cancellation and Refunds

You may cancel your subscription at any time from your customer portal. Upon cancellation:

• Your site remains fully active until the end of the current billing period.
• After the billing period ends, your site is suspended and all data is preserved for 30 days.
• You may reactivate your subscription at any time during the 30-day preservation window to restore your site immediately.
• After the preservation window expires, all data — including articles, media, and subscriber information — is permanently and irreversibly deleted.

Money-Back Guarantee: We offer a 30-day money-back guarantee on all new subscriptions. If you cancel within 30 days of your initial payment, a full refund will be issued automatically to your original payment method. This guarantee applies to first-time payments only and does not apply to renewal charges, plan upgrades, or add-ons. Refunds are processed within 5–10 business days depending on your card issuer.

8. AI Credits and Content Estimates

Each subscription plan includes a monthly AI credit allowance. Credits are consumed when using AI-powered features including article writing, breaking news generation, short video creation, and image generation. You acknowledge that:

• Credit consumption per action varies based on content length, complexity, AI model used, and other technical factors that differ from run to run. No fixed per-action credit cost is guaranteed.
• All content estimates displayed on our pricing page or within the platform — including articles, breaking news items, shorts, or images per month or per day — are approximations only, calculated from average observed usage data. These figures are not contractual guarantees.
• Unused credits do not carry over to the following month and have no cash value.
• We update our credit cost estimates regularly to reflect real-world usage, but actual consumption may be higher or lower than displayed estimates.
• NewsPro is not liable for any discrepancy between estimated and actual credit consumption.

9. AI-Generated Content Disclaimer

The Service includes AI-powered tools that automatically generate articles, breaking news, images, short videos, and other content. You acknowledge and agree that:

• AI-generated content may contain inaccuracies, factual errors, hallucinations, or outdated information. NewsPro does not verify, fact-check, or editorial-review any AI-generated content before or after publication.
• You are solely responsible for reviewing, editing, and verifying all AI-generated content before it is published on your site, whether manually or via automated scheduling.
• AI-generated content may inadvertently reproduce copyrighted material. You are responsible for ensuring your published content complies with all applicable copyright and intellectual property laws.
• NewsPro is not liable for any damages, legal claims, or reputational harm arising from inaccurate, misleading, or rights-infringing AI-generated content published through your account.

10. Recurring Billing Authorization

By subscribing to the Service, you explicitly authorize NewsPro to charge your payment method automatically at the start of each billing cycle (monthly or yearly, as selected). You acknowledge that:

• Charges will continue until you cancel your subscription from your customer portal.
• Cancellation stops future charges but does not entitle you to a refund for the current billing period, unless you cancel within the 30-day money-back guarantee window.
• If a payment fails, we will retry the charge up to 3 times on subsequent days. If all attempts fail, your subscription will be cancelled and your site suspended.
• Payment processing is handled by Tranzila. In the event of a dispute related to payment processing, Tranzila's own terms and policies apply.

11. Third-Party Services

The Service relies on third-party providers to deliver core functionality. These include AI content generation (xAI / Grok), payment processing (Tranzila), cloud storage, email delivery, and social media platforms. NewsPro is not responsible for:

• Outages, errors, or data loss caused by third-party services.
• Changes to third-party APIs, pricing, or policies that affect Service functionality.
• Delays or failures in AI content generation due to provider-side issues.
• Failed or delayed email delivery due to spam filters, ISP restrictions, or email service provider limitations.

12. Social Media Auto-Posting

The Service includes features that automatically post content to third-party social media platforms (including Facebook, Instagram, X/Twitter, TikTok, LinkedIn, Telegram, and others). You acknowledge and agree that:

• You are solely responsible for ensuring that auto-posted content complies with each social media platform's terms of service, community guidelines, and content policies.
• NewsPro is not liable for account suspensions, bans, or penalties imposed by social media platforms due to content posted through the Service.
• Auto-posting depends on valid OAuth tokens and API availability. We do not guarantee uninterrupted posting and are not liable for missed or failed posts.

13. Email Marketing and Newsletter Compliance

The Service includes tools for sending newsletters and bulk emails to subscribers. You are solely responsible for complying with all applicable email marketing laws and regulations, including but not limited to CAN-SPAM (USA), GDPR (EU), CASL (Canada), and any other local laws governing commercial email. This includes maintaining opt-in records, honoring unsubscribe requests promptly, and not sending unsolicited messages.

14. Service Availability and Uptime

We strive to maintain high availability of the Service. However, we do not guarantee uninterrupted or error-free operation. Downtime may occur due to scheduled maintenance, unplanned outages, third-party service failures, DDoS attacks, or other circumstances beyond our control. The Service is provided "as is" and "as available" without any uptime guarantee enforceable as a contractual obligation.

15. Data Loss and Suspension

If your subscription expires or is cancelled due to non-payment, your site will be suspended and your data preserved for 30 days. After this preservation period, all site data — including articles, media files, subscriber information, and configuration — will be permanently and irreversibly deleted. NewsPro is not responsible for data loss following the expiration of the preservation window. We strongly recommend exporting your content regularly.

16. User Content Indemnification

You agree to indemnify, defend, and hold harmless NewsPro and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) content you publish through the Service, including AI-generated content; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) your use of social media auto-posting features.

17. Data and Privacy

We handle your data in accordance with our Privacy Policy. Each site's data is stored in an isolated database. We do not sell your data to third parties.

18. Limitation of Liability

To the maximum extent permitted by applicable law, NewsPro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

19. Changes to Terms

We may update these terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.
